Registering a Société
Société
A Société is an entity between 2 or more associés formed for a specific purpose.
There are different types of Sociétés:-
- Société Commerciale which includes Société en nom collectif et en commandité simple
- Société Civile
Société Commerciale and Société en nom collectif et en commandité simple are governed by the Code Commerce (Amendment) Act, Act 21 of 1985 and are required to pay an Annual Registration Fee.
Société Civile is regulated by the Code Civil Mauricien
Registration of a Société (Civil/Commercial)
- Statuts – Civil or Commercial
- Société Civil mostly are Partnership holding assets whereas Société Commerciale are Partnership who trade.
- For Civil at registration there is no payment whereas for Commercial payment of Rs 9000 is required.
- Information required in Status – (can be done by Notary Deed or Sous seing Privee).
- Form – Application for Reservation of Partnership Name
Other Documents/Changes
Any change in Société should be notified to the Registrar of Companies
- Extract of file is issued against payment of Rs 100
- Copies
- Statuts (Certified Rs 700; Uncertified Rs 500)
- Other documents (Certified Rs 400; Uncertified Rs 200)
- Search (Rs 100)
- Request for Information
