Setting up a Limited Liability Partnership (LLP)
Limited Liability Partnerships (LLP) Domestic
Limited Liability Partnerships are governed by the Limited Liability Partnerships Act 2016.
It is a business structure with at least two partners mostly engaged in activities such as Professional or Consultancy services
The Steps required to set up a Domestic Limited Liability Partnership
- The name should be available in accordance with Section 18 of the Act – (Application for Reservation of Limited Liability Partnership Name) – S19(1)-F LLP3
- Name should end with the word “Limited Liability Partnership” or “LLP”.
- To fill downloadable form – S23. F LLP1 in accordance with Section 22 of the Act:-
- Written Consent of Partner,
- Written Consent of Manager,
- Partnership Agreement (optional)
- Letter of disclosure for Beneficial Owner.
- BRF 3 – Application for Business Registration Card.
- The fees payable at the time of registration is: Rs 3000 + Rs 200 (Certificate)
- Yearly Fees for LLP (Domestic) – Rs 5,000
Filing Requirements for LLP
- LLP need to file financial statement annually with Registrar of Companies (ROC)
- Payment of Registration Fees and Trade Fees are done at the cash office
Other Documents/Changes
Any change in the Limited Liability Partnership should be notified to the Registrar of Limited Liability Partnership:-
- Notice of change of name of a Limited Liability Partnership – S20.F LLP5 (against a payment of Rs 100)
- Notice of Change of name in Registered Office , Service Address- S42-F LLP 4
- Notice of Change in Registered Particulars – S44-F LLP 7
- Notice of Change of Partner – S44 (5) – F LLP6 and Consent of Partner – S23-F LLP2
- Notice of Change of Manager- S44 (5)-F LLP6 and Consent of Manager – S23-F LLP2
- Application for Removal of Limited Liability Partnership from Register for the purpose of transferring its registration to another country – S32 (a)-F LLP 8
- Application for registration and continuation of foreign LLP – S23 F LLP1
- Certificate of Current Standing is issued against payment of Rs 100.
- Copies:- (Certified Copy: Any Certificate/Any other document Rs 200; Partnership Agreement Rs 500)
- Search (Rs 100)
LIMITED LIABILITY PARTNERSHIPS (LLP) (Foreign)
“Foreign Limited Liability Partnership” means a partnership –
- constituted under the law of a country other than Mauritius;
- in which the partners have limited liability.
- Rs 9000 + Rs 200 (Certificate)
