Setting up a Limited Partnership
Limited Partnerships (LP)
Limited Partnerships are governed by the Limited Partnerships Act 2011.
It is a business structure with two types of partners:
- General Partner
- Limited Partner

- General Partner (similar to Directors in a company)
- Limited Partner (with a limited liability as shareholders in a company)
Registration of a Limited Partnerships (LP)
Registration of Limited Partnerships (LP) - Domestic
- The name should be available in accordance with Section 15 of the Act – Application for Reservation of Limited Partnership name – (S16.F LP1)
- Name should end with the word “Limited Partnership” or “LP”.
- To fill downloadable form – Application for Registration of a Limited Partnership – ((S19.F LP2) – In accordance with Section 19 of the Act
- Written Consent of General Partner
- Partnership Agreement
- Declaration of Beneficial Owner
- BRF 3 – Application for Business Registration Card.
- The fees payable for a Limited Partnership at the time of registration is:-
- Domestic – Rs 3000 + Rs 200 (Certificate)
- Yearly Fees for a Limited Partnership:
- Domestic – Rs 5,000
Limited Partnerships (LP) holding a Global Business License
- The name should be available in accordance with Section 15 of the Act – Application for Reservation of Limited Partnership Name – ( S16.F LP1)
- Name should end with the word “Limited Partnership” or “LP”.
- To fill downloadable form – Application for Registration of a Limited Partnership – ( S19.F LP2) – In accordance with Section 19 of the Act
- Written Consent of General Partner
- Partnership Agreement
- Declaration of Beneficial Owner
- BRF 3 – Application for Business Registration Card.
- The fees payable for a Limited Partnership at the time of registration is:-
- Domestic – Rs 3000 + Rs 200 (Certificate)
- Yearly Fees for a Limited Partnership:
- Domestic – Rs 5,000
Limited Partnerships (LP) - Foreign
“Foreign Limited partnership” means a partnership –
- (a) constituted under the law of a country outside Mauritius; and
- (b) in which one or more partners has limited liability in respect of partnership obligations as a result of the registration of the partnership in that country;
The fees payable for a Limited Partnership (Foreign) at the time of registration is:-
- Foreign – Rs 9000 + Rs 200 (Certificate)
Yearly Fees for a Limited Partnership:
- Foreign – Rs 18,000
Other Documents/Changes
Any change in the Limited Partnership should be notified to the Registrar of Limited Partnership:-
- Change in General Partner and Consent – Notice of Change of General Partner(Section 22 of the Act) and Consent of General Partner – S19(2)(9)
- Annual Return- S53 F. LP3
- Notice of Change in Registered Particulars – (S22.F LP7)
- Notice of Change of Name of a Limited Partnership – S17.F LP5
- Application for removal of Limited Partnership from Register for the purpose of transferring its Registration to another country – S65.F LP4
- Dissolution of Limited Partnerships (LP)
